1. This Acceptance
By using or accessing this website or any website hosted at YouCast.com (the "Sites"), or by accessing or using any part of the YouCast proprietary file transmission services (together with the Sites, the "Service"), you agree to be bound by the following terms and conditions.
YouCast may revise these Terms of Service from time to time. YouCast recommends that you review the most up-to-date version of this page to note any changes. By continuing to access or use the Service, you agree to be bound by any Terms of Service and Privacy Policy in effect at the time of such access or use. If you do not agree to the modified terms then you must cease using the Service.
2. Prohibited Uses.
You shall use the Service only for lawful purposes. We reserve the right to immediately discontinue your Service without notice, if, in our sole and absolute discretion, we determine that you have used the Service for an unlawful purpose.
3. Disclaimer of Warranties
The Service IS provided “AS-IS,” without warranty of any kind, either express or implied. Without limiting the foregoing, YouCast explicitly disclaims any warranties of merchantability, fitness for a particular purpose and non-infringement.
Your use of YouCast is at your own risk. If you are dissatisfied with any aspect of our Service or with these terms & conditions, or any other rules or policies, your sole remedy is to discontinue use of the Service. You expressly understand and agree that YouCast shall not be liable for any direct, indirect, incidental, special, consequential exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if we have been advised of the possibility of such damages), resulting from: (I) the use or the inability to use the Service; (II) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the Service; (III) unauthorized access to or alteration of your transmissions or data; (IV) statements or conduct of any third party on the service; or (V) any other matter relating to the Service
4. Disclaimer of Fees
To access the FREE service provided by YouCast, your mobile phone must connect to the internet and have Short Message Service (SMS) activated. You are responsible for any cost caused by internet connectivity, sending and receiving SMS. These fees are payable to your mobile device service provider. YouCast receives nothing. Make sure you have a proper data plan with your service provider to avoid unexpected cost.
5. Proprietary Rights
All right, title, and interest in and to the Service is and will remain the exclusive property of YouCast and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Except as expressly permitted in this Agreement, you may not reproduce, modify, or prepare derivative works based upon, distribute, sell, transfer, publicly display, publicly perform, transmit, or otherwise use the Service.
6. Ownership of User Files
YouCast does not claim any ownership rights in any User Files that you make available through the Service. However, by making User Files available through the Service, you grant YouCast the non exclusive, worldwide, transferable right, on a royalty-free basis, with a right to sublicense this right only to third parties assisting YouCast in providing the Service, to use, copy, distribute and process User Files on the Sites and through the Service on your behalf and on behalf of your customers solely for the purposes of ensuring secure transfer and delivery of such User Files.
7. Indemnity
You agree to defend, indemnify, and hold harmless YouCast, its affiliates, officers, directors, employees and agents, from and against any claims, actions or demands, including without limitation reasonable legal fees, alleging or resulting from your use the Service, or your breach of this Agreement or other YouCast policies, terms and conditions.
